Terms of Service
Effective date: 15 June 2026 · Last updated: 15 June 2026
These Terms of Service (“Terms”) are a binding agreement between you (“you” or “User”) and Fabrik AI, Inc. (“Fabrik,” “we,” or “us”), a corporation registered in the State of Delaware, USA. By accessing or using fabrik.ai or any Fabrik application, API, or service (collectively, the “Service”), you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and references to “you” include both you individually and that organization.
Please read these Terms carefully. They contain important information about your rights and obligations, limitations of liability, dispute resolution, and other matters that affect you.
1. The Service
Fabrik is an AI-powered game-asset production platform. It allows users to describe a creative brief, then orchestrates AI generation, organization, review, and export of game assets including images, UI elements, symbols, background art, audio, music, and voice lines (collectively, “Generated Content”). The scope of available features depends on your subscription plan.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you for any such changes unless required by applicable law.
2. Accounts and Eligibility
2.1 Eligibility
You must be at least 18 years old to use the Service. By creating an account, you represent that you meet this requirement. The Service is not directed at children under 13, and we do not knowingly collect personal information from children.
2.2 Account Registration
You must provide accurate and complete registration information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us immediately at security@fabrik.ai of any unauthorized access to your account.
2.3 Organizational Accounts
If you create an account on behalf of an organization, that organization is the “Account Owner.” Account Owners may invite additional members and assign roles that control access to projects and features. Account Owners are responsible for ensuring all members comply with these Terms.
3. Subscriptions, Credits, and Billing
3.1 Plans
Fabrik offers Free, Pro, Studio, and Enterprise subscription tiers. Features and monthly credit allotments vary by plan, as described on the Pricing page. Specific pricing is subject to change; we will provide at least 30 days’ notice before increasing charges for existing subscribers.
3.2 Credits
Certain generation operations consume “Credits,” which are the unit of compute metering on the Fabrik platform. Credits are non-transferable, expire at the end of each billing cycle unless otherwise stated, and have no cash value. We may adjust credit costs for individual operations with reasonable notice.
3.3 Payment and Renewal
Paid subscriptions are billed in advance on a monthly or annual cycle. All fees are in USD and exclusive of taxes. You authorize us (or our payment processor, Stripe) to charge your payment method on each renewal date. You are responsible for any applicable taxes.
3.4 Refunds
All fees are non-refundable except where required by applicable law or as described in our refund policy. If you believe a billing error has occurred, contact billing@fabrik.ai within 30 days of the charge.
3.5 Downgrade and Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then. Downgrading may restrict access to projects or features that exceed the lower plan’s limits.
4. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy, incorporated here by reference. You may not use the Service to:
- Generate content that is illegal, defamatory, fraudulent, or that infringes any third-party intellectual property right;
- Produce content involving real individuals without their consent in ways that could harm their reputation or privacy;
- Engage in unauthorized scraping, data mining, or systematic extraction of Service data;
- Attempt to reverse-engineer, decompile, or derive source code from the Service;
- Circumvent any rate limits, security measures, or access controls; or
- Resell or sublicense access to the Service without our express written consent.
Violation of these terms may result in immediate suspension or termination of your account and forfeiture of Credits without refund.
5. Intellectual Property and Generated Content
Your rights in Generated Content are governed by our Generated Content & Licensing Policy, incorporated here by reference. In summary:
- You own the creative brief, source materials, and instructions you provide;
- Subject to your subscription tier and compliance with these Terms, we assign to you all of Fabrik’s rights in the unique output generated specifically for your prompts; and
- You are responsible for conducting your own clearance review for any commercial use, as upstream AI model licenses may impose additional conditions.
The Fabrik name, logos, product UI, and platform software remain the exclusive property of Fabrik AI, Inc. No license to any Fabrik intellectual property is granted beyond what is expressly stated in these Terms.
6. User Content
You may upload reference materials, brand assets, audio files, and other content (“User Content”) to the Service. You retain ownership of your User Content. By uploading, you grant Fabrik a limited, non-exclusive, worldwide, royalty-free license to use, process, display, and reproduce your User Content solely as necessary to provide the Service to you.
You represent and warrant that you own or have the necessary rights to all User Content you upload, and that your User Content does not infringe any third-party rights. You are solely responsible for your User Content.
We may use anonymized, aggregated statistical data derived from your use of the Service to improve our models and platform, but we will not use your identifiable project data, briefs, or Generated Content to train AI models without your explicit opt-in. See our Privacy Policy for full details.
7. Confidentiality
Each party may receive confidential information from the other in connection with the Service. Each party agrees to protect the other’s confidential information with at least the same care it uses for its own, and not to disclose it to third parties except as required by law or with the disclosing party’s prior written consent.
8. Privacy
Our Privacy Policy describes how we collect, use, and share your personal information. By using the Service, you acknowledge that you have read and understood our Privacy Policy.
9. Third-Party Services and APIs
The Service integrates with third-party AI models and infrastructure providers (“Third-Party Services”). Your use of the Service may be subject to those providers’ terms in addition to these Terms. We are not responsible for the content, policies, or practices of Third-Party Services.
If you connect Fabrik to third-party platforms (e.g., Unity, Unreal, Godot project integrations), you are responsible for complying with those platforms’ terms of service.
10. Disclaimers and Limitation of Liability
10.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
10.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FABRIK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF FABRIK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL FABRIK’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO FABRIK IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.
10.3 Essential Basis
The limitations above reflect an allocation of risk between the parties and are an essential element of the basis of the bargain between the parties. Fabrik would not provide the Service without these limitations.
11. Indemnification
You agree to defend, indemnify, and hold harmless Fabrik and its officers, directors, employees, and licensors from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your User Content; (b) your use of the Service; (c) your violation of these Terms; or (d) your infringement of any third-party rights.
12. Term and Termination
These Terms remain in effect while you use the Service. We may suspend or terminate your account at any time for material violation of these Terms, with or without notice for serious violations. You may terminate your account at any time by contacting support@fabrik.ai or using the in-app account deletion flow.
Upon termination, your right to access the Service ceases immediately. Sections 5, 6, 7, 10, 11, 13, and 14 survive termination.
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law provisions.
13.2 Informal Resolution
Before initiating any formal dispute, you agree to contact us at legal@fabrik.ai and give us 30 days to attempt informal resolution.
13.3 Binding Arbitration
If informal resolution fails, any dispute will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property violations. You waive any right to a jury trial and to participate in class-action proceedings.
13.4 Exceptions
Nothing in this section limits either party’s right to seek emergency injunctive or equitable relief from a court to prevent irreparable harm.
14. General Provisions
14.1 Entire Agreement
These Terms, together with the Privacy Policy, Acceptable Use Policy, and Generated Content & Licensing Policy, constitute the entire agreement between you and Fabrik relating to the Service and supersede all prior agreements.
14.2 Modifications
We may update these Terms from time to time. We will notify you of material changes by email or prominent in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
14.3 Severability
If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
14.4 Waiver
Failure to enforce any provision of these Terms will not constitute a waiver of our right to enforce it in the future.
14.5 Assignment
You may not assign your rights under these Terms without our written consent. We may assign our rights and obligations to an affiliate or in connection with a merger, acquisition, or sale of substantially all of our assets, with notice to you.
